Announcement of Conclusion of Agreement on Sale of Shares of Salus, d. d.

On 25 March 2014, Slovenska odškodninska družba, d.d. concluded an Agreement on Sale of Shares of Salus d.d. with Salus, promet s farmacevtskimi, medicinskimi in drugimi proizvodi, d.d., acting as a buyer of 10,693 shares of Salus, promet s farmacevtskimi, medicinskimi in drugimi proizvodi, d.d., at the price of 290 EUR per share. The Agreement on the Sale of Shares has been concluded under a suspensive condition which will enter into force on the date when shareholders of Salus, promet s farmacevtskimi, medicinskimi in drugimi proizvodi, d.d., adopt a resolution on the withdrawal of shares in line with the provisions on the decrease in share capital and in accordance with Article 247, Paragraph 1, indent 7 of Companies Act.
