SSH, META Ventures, S.r.l. and META Ingenium, d. o. o. conclude an out-of-court settlement agreement and settle the commercial dispute related to the sale of a minority stake of the Republic of Slovenia in META Ingenium, d. o. o.

The Management Board of SSH and representatives of META Ventures, s.r.l. and META Ingenium, d. o. o. concluded an out-of-court settlement agreement in a commercial dispute arising from the sale of a minority stake of the Republic of Slovenia (RS) in the venture capital company META Ingenium, d. o. o., which was implemented on 25 July 2022.

 

After lengthy negotiations, SSH, META Ventures, S.r.l. and META Ingenium, d. o. o. agreed on an additional purchase price of EUR 2.09 million for RS, while the other terms of the Sale and Purchase Agreement remained in force and allow RS to receive further payments as a result of the sale of BIA Separations. The amount of a variable part of the purchase price over the next three years depends on the performance of BIA Separations.

 

SSH took an informed decision and concluded the out-of-court settlement after having obtained external legal opinions, an independent financial evaluation of the settlement proposal and scenarios of various outcomes of lawsuits by an international audit firm and on the basis of a master document (the so-called Fairness Opinion).

 

SSH considers that it has reached the most optimal result in challenging circumstances: the result is reasonable and in the interest of the Republic of Slovenia, as it restores the Republic of Slovenia additional legitimate benefits and ends the lengthy court proceedings as well as the risks associated with it.

 

The Management Board of SSH had also obtained the consent of the Supervisory Board of SSH before concluding the out-of-court settlement.
