Vanessa Grmek has started her term of office as Member of SSH Management Board

Today, SSH has received a decision by the Ljubljana District Court, which, on 1 February 2021, decided to appoint Vanessa Grmek as the Member of the Management Board of Slovenian Sovereign Holding (SSH). Thus, the stability of operations and further smooth implementation of all necessary decisions made by the SSH Management Board have been ensured.

The proposal for the appointment by the court order was given by the President of the SSH Supervisory Board and the President of the SSH Management Board due to the  consensual resignation by the two Members of the Management Board,  Boštjan Koler and Boris Medica, who held the position of the Members of the SSH Management Board until 31 January 2021.

The possibility for the temporary appointment of a Management Board Member in exceptional circumstances is provided for by Article 256 of ZGD-1. In the meantime, the Nomination Committee of the SSH Supervisory Board has already started with the regular procedures to fill the Management Board’s vacancies.

The term of office of a court-appointed Management Board Member is terminated when a new member is appointed to this position in accordance with the SSH Articles of Association and the Slovenian Sovereign Holding Act.

 

Vanessa Grmek (1975), holding a university degree in law (LL.B), which has been obtained at the Faculty of Law, University of Maribor, bar exam and an MBA degree has managerial experience gained at work in the real sector as well as in corporate governance and restructuring of state assets.

Prior to her appointment as the Member of the SSH Management Board, she held the position of the Advisor to the SSH Management Board.

Since 2011, she has been employed in institutions dealing with the management of capital assets, mostly holding managerial positions. During this period of time and on the basis of varied positions as well as additional working obligations, she has obtained rich experience in various segments of corporate governance of SSH (previously AUKN and SOD), especially in the following areas of work: managing legal affairs; managing assets from the Energy Sector and Transport; restructuring and controlling; coordination of all departments dealing with asset management in the capacity of the Assistant to the Management Board; responsibilities of the temporary Member of the Management Board appointed on the basis of the court order in Autumn 2018.

Prior to that, she worked in private sector, rendering advisory services in the field of corporate and labour law as well as management and was employed at Droga Kolinska, d. d., for several years, holding the position of the Advisor to the President of the Management Board for four years.

She is also experienced in supervising companies (Supervisory Board Member of Pošta Slovenije, Gen energija, Hoteli Bernardin and Sava) and holds a valid certificate issued by the Slovenian Directors' Association.
